What are Mergers & Acquisitions?
A merger is the joining of two or more business entities under which the entities shall move forward as one. This type of transaction is very complex, especially in the healthcare arena, as unique state, and federal regulations most be closely followed. At times mergers are not achievable because of taxation issues, formation issues, and asset migration; we suggest joint ventures in these types of scenarios.
An Acquisition is when a business or individual acquires a business. There are two forms of acquisitions, asset purchase and stock purchase. In an asset purchase a buyer purchases the seller’s assets, and goodwill without the liabilities, in a stock purchase the buyer purchase the entire business including the stock or membership units in the business as well as the liabilities. This type of transaction is highly complex when attributed to healthcare entities as many variables and factors come into play.
